1. Accepting These Terms
These Website Terms of Use (the “Terms”) apply whenever you visit or use a website run by Acme, Inc. (“Acme”) or one of the companies it controls (each, and collectively, the “Site”). Using the Site means you accept the Terms in full and will follow every law and rule that applies to you where you are. If you disagree with any part, please stop using the Site now. Material on the Site is protected by intellectual property law. When you accept on behalf of a company or other organization, you confirm you have authority to commit it to these Terms.
You must be at least 13 years old to use the Site. If you have not reached the age of majority where you live, a parent or guardian needs to accept these Terms on your behalf, and by using the Site you confirm they have. Acme can deny access to anyone and adjust eligibility rules whenever it chooses. The Site is not offered anywhere such an offer would break the law.
2. Permission to Use the Site
Provided you keep to these Terms, Acme lets you look at the words, pictures and other material on the Site (the “Content”) for your own private, non-commercial purposes. You receive a revocable permission rather than ownership, and you agree that you will not:
- reproduce, edit or adapt the Content;
- use any Content to make money or show it publicly;
- take apart, decode or try to extract the source of any software on the Site, unless the law expressly allows it;
- strip ownership, copyright or similar markings from the Content; or
- hand the Content over to others or host a copy of it elsewhere.
Your permission ends on its own the moment you breach a restriction, and Acme can withdraw it whenever it likes. Once it ends, you must erase every copy of Content you saved, whatever the form. All rights not expressly granted stay with Acme and the parties who license material to it.
In addition, you will not, and will not assist others to, place anything on the Site or send anything through it that:
- violates someone else’s intellectual property, privacy, publicity or other rights;
- breaks the law, or is abusive, threatening, defamatory, misleading, fraudulent, intrusive, hateful or obscene;
- is junk mail, bulk advertising or a chain letter;
- runs a contest, prize draw, trade scheme or pyramid scheme unless Acme has agreed in writing beforehand;
- includes malware or any code meant to break, harm or restrict software, devices or networks, or to reach systems or data without permission; or
- pretends to be another person or organization, including an Acme employee.
Nor will you: (i) put an excessive strain on systems that Acme or its suppliers run; (ii) disrupt how the Site works; (iii) bypass controls Acme puts in place to restrict entry to the Site; or (iv) harvest, scrape or bulk download pages from the Site with bots or similar tools.
3. Accounts
Certain areas of the Site ask you to create an account with a username and password (an “Acme ID”). Information you give us must be truthful, complete and kept current; if it is not, you are in breach and we may shut the account down without delay. Your Acme ID may not (i) be another person’s name used to pose as them, (ii) be a name someone else has rights in, unless they consent, or (iii) be something Acme finds objectionable.
Acme may reject or revoke an Acme ID as it sees fit. You are accountable for all activity on your account and for keeping your password secret. Never sign in as someone else, and let Acme know in writing right away if you suspect anyone has entered your account without permission.
4. Content You Post
Some features let you share text, pictures, video, comments, code and other material on the Site (“Submissions”). Each time you post a Submission:
- you give Acme a global, non-exclusive license, with no fees owed, that never expires, cannot be withdrawn and may be passed on or sublicensed, to reproduce, modify, publish, show and share the Submission for the Site and for Acme’s business, in any format;
- you either own the Submission or hold all rights required to give that license;
- the Submission includes nothing confidential, and Acme owes no duty of confidence for it; and
- Acme can take down any Submission whenever and for whatever reason, without telling you first.
5. Ideas and Suggestions
Should you share ideas, suggestions or comments about Acme’s products or the Site, Acme is free to use them for any purpose and owes you nothing for doing so. Please do not send us anything you consider confidential.
6. Links to Other Sites
Pages on the Site can link to services Acme does not operate. We do not check all of them, we are not answerable for what they publish or how they behave, and a link is not an endorsement. Following those links is entirely up to you and at your own risk.
7. No Warranties
Acme offers the Site and the Content on an “as is” and “as available” basis. As far as the law permits, Acme makes no promises of any kind, whether stated or implied, including any about quality, suitability for a specific use, title or non-infringement. We do not guarantee that the Site will always be available, safe or error-free, that it is free of viruses, or that the Content is correct, complete or up to date.
8. Limits on Our Responsibility
As far as the law permits, neither Acme nor its suppliers will be responsible for indirect, incidental, special, exemplary or consequential losses, or for loss of revenue, data, goodwill or business, that result from using the Site or being unable to use it, even if warned that such losses could occur. Where local law forbids these exclusions, they apply only as far as it allows.
9. Your Responsibility to Us
If someone brings a claim against Acme, its affiliates or their directors, staff or agents because you broke these Terms or misused the Site, you will cover the resulting losses and costs, including reasonable attorneys’ fees, and help defend the claim.
10. Which Law Applies
California law governs these Terms, setting aside any rule that would point to another jurisdiction’s law. Any dispute about these Terms or the Site must be brought only in the state or federal courts sitting in San Francisco, California, and you consent to their authority.
11. Updates to These Terms
We may change these Terms by publishing a new version here. If you use the Site once the new version is in force, you are agreeing to it, so please review this page from time to time.
